Invitation to the Annual General Meeting
The invitation to the Annual General Meeting of shareholders 2020 has been published and includes the meeting agenda and information on how shareholders can give notice of attendance. The Annual General Meeting will take place on Tuesday, March 31, 2020, at 3:00 p.m. at Kistamässan, Arne Beurlings torg 5, Kista/Stockholm. The registration to the Annual General Meeting starts at 2:00 p.m.
Registration and notice of attendance
Shareholders who wish to attend the Annual General Meeting must:
- Be recorded in the share register kept by Euroclear Sweden AB (the Swedish Securities Registry) on Wednesday, March 25, 2020, and
- Give notice of attendance to the Company at the latest on Wednesday, March 25, 2020.

When giving notice of attendance, please state name, date of birth or registration number, address, telephone number and number of assistants, if any.
The Annual General Meeting will be conducted in Swedish and simultaneously translated into English. Those who would like to use this service can obtain a headset at the service desk in the meeting room.
No food or refreshments will be served.
In addition to giving notice of attendance, shareholders having their shares registered in the name of a nominee must request the nominee to temporarily enter the shareholder into the share register as per Wednesday, March 25, 2020, in order to be entitled to attend the Annual General Meeting.
You may participate in the Annual General Meeting either in person or by proxy. Shareholders represented by proxy shall issue a power of attorney for the representative. A power of attorney issued by a legal entity must be accompanied by a copy of the entity’s certificate of registration (should no such certificate exist, a corresponding document of authority must be submitted). Such documents must be no more than one year old unless the power of attorney explicitly provides that it is valid for a longer period, up to a maximum of five years. In order to facilitate the registration at the Annual General Meeting, the power of attorney in original, certificates of registration and other documents of authority should be sent to the Company in advance to the address above for receipt by Monday, March 30, 2020.
In accordance with the Swedish Companies Act, it is allowed to bring two accompanying assistants to the Annual General Meeting. Assistants’ attendance must be notified to the Company together with the shareholder’s notification, and no later than Wednesday, March 25, 2020. Notified assistants will be included on your admission ticket. Therefore, please register together at the registration desk. Please advise the officials at the registration desk if an assistant will not attend the Annual General Meeting.
The admission ticket ("inträdeskort") will be sent to you using the postal address kept by Euroclear Sweden AB, the Swedish Securities Registry. Remember to bring your admission ticket!
When registering at the Annual General Meeting the voting units will be programmed with the information of your holdings of shares and number of votes. This information will be included on your admission ticket. The voting units are provided at the meeting and should be returned when you leave the premises.
Majority requirements and voting
Most resolutions at General Meetings of shareholders are passed by a simple majority, i.e. more than half of the votes cast at the General Meeting. However, the Swedish Companies Act requires qualified majorities in certain cases. For example, resolutions on transfer of treasury stock to employees participating in long-term variable compensation programs must be approved by 90 percent of the votes cast and by 90 percent of the shares represented at the Meeting, and a resolution to amend the Articles of Association must be approved by a two thirds majority.
Most resolutions are, by tradition, concluded by acclamation. However, voting units will be used to make voting easier under certain resolutions.
When registering at the meeting the voting units will be programmed with the information of your holdings of shares and number of votes. This information will be included on your admission ticket. The individually programmed voting units voters are provided at the meeting and should be returned when you leave the premises.
